I.          CALL TO ORDER                                                                

The meeting of the Wright State University Board of Trustees was called to order by Ms. Bonnie Langdon, chair, on Thursday, October 14, 2004, 4:00 p.m., in 161 Brehm Lab. Ms. Jacqueline McMillan, secretary to the Board of Trustees, called the roll:

II.         PROOF OF NOTICE OF MEETING                         

Ms. Langdon reported that this meeting was called by written notification and a quorum was present.

III.        DISPOSITION OF PREVIOUS MINUTES              

Ms. Langdon moved to approve the June 10 and 11, 2004, minutes as submitted. Mr. Young seconded, and the motion was unanimously approved by voice vote.

IV.       EXECUTIVE SESSION

In accordance with the Ohio Open Meetings Law, the Board, after a majority of a quorum, determined to hold an Executive Session by offering the following resolution:

RESOLUTION 05-2

RESOLVED that the Wright State University Board of Trustees agreed to hold Executive Session on Thursday, October 14, 2004; and be it further

RESOLVED that pursuant to the Ohio Revised Code 121.22 (G), the following issues may be discussed in Executive Session:

¥           Legal Report

¥           Potential dismissal, demotion, or discipline of a tenured faculty member, and pertinent personnel matters

¥           Purchase of real property by WSU Foundation, Inc., and pertinent real estate matters

Ms. Langdon moved for approval. Mr. Adams seconded, and the motion was unanimously approved by roll call vote.

V.        RECESS

Following the Executive Session, the WSU Trustees, the Student Trustees, and members of the Cabinet joined the President and Mrs. Goldenberg for dinner at Rockafield House.

VI.       RECONVENE - ROLL CALL

The Wright State University Board of Trustees reconvened on Friday, June 11, 2004, 8:30 a.m., in E156, Student Union. Ms. McMillan called the roll:

Ms. Langdon stated that the Wright State University Board of Trustees is a public body subject to the Ohio Open Meetings Act. It operates on a fixed agenda available to those attending the meeting. Persons wishing to address the Board in its public session should submit a written request to the Board of TrusteesÕ office 72 hours in advance of the meeting in order to be placed on the agenda. However, all persons address the Board at the invitation of the Board and are subject to time limitations and other guidelines established to maintain the good order of the meeting.

VII.          REPORT OF THE CHAIR

A.             Introduction of New Board Members

Jamie King

Jamie King was appointed to Wright State University Board of Trustees for a term ending June 30, 2013, replacing Daisy Duncan Foster.

Mrs. King is CEO of Crowe Manufacturing Services, Inc. She has served in this role since 1988. During 2002, she was selected as one of DaytonÕs Top Ten Women. Previously she received the State of OhioÕs Excellence in Enterprise award, selected as Dayton Entrepreneur of the Year, and received The ToastmasterÕs Club Award for Communications Excellence.

She currently serves on the Board of Trustees and the Finance Committee for the Dayton Foundation, the Board of Directors for the Dayton Development Coalition, and as Forum Moderator for Cincinnati Young PresidentÕs Association.

Mrs. King is a 1980 Summa Cum Laude graduate of Wright State UniversityÕs Business school, a member of the Ohio Society of CPAÕs and the American Institute of CPAÕs. Jamie and her husband Bob reside in Kettering with their two daughters.

Mrs. King had a commitment out of town and was unable to attend todayÕs meeting.

Matthew Watson

Matthew Watson was appointed student trustee of Wright State University for a term ending June 30, 2006. He is pursuing a Bachelor of Science in Accounting and Finance degree.

In addition to his studies, Mr. Watson serves on the DeanÕs Student Advisory Board for the Raj Soin College of Business. He is a member of the National Eagle Scout Association, the Order of the Arrow, and Alpha Lambda Delta.

                        Mr. Watson is a Beavercreek resident.

á               Ms. Langdon presented Mr. Michael Adams with a plaque thanking him for serving as chair of the Wright State University Board of Trustees for the past 2 years.

VIII.     REPORT OF THE PRESIDENT

A.             University Update

President Goldenberg provided an update on selected university activities:

1.             Pan American Health organization was hosted here last week. Dr. Richard Schuster led community partners in sharing strategies to reduce heart disease and stroke as one of the twelve funded N.I.H. centers in America.

2.             Oxford Round Table was attended by Jouhaina Razzouk, a recent Professional Psychology graduate. She was selected to join international leaders in a discussion of womenÕs rights.

3.             Cameos of Caring recognized 14 exceptional nurses honored by area health care institutions. Dr. Pat Martin, dean of Nursing and Health, created this event for the region with the outstanding support of Ms. Annette Caufield.

4.             Campaign Status Report indicates $59 million in commitments. We intend to continue this successful campaign beyond the October 23rd celebration, having exceeded our $40 million goal set by national bench marks.

5.             Hispanic Heritage Month kick off was led by Mai Nguyen, director of Asian, Hispanic and Native-American Center. Also, fall fest and homecoming weekend were great successes thanks to many faculty, staff and students.

B.        Fall Enrollment Report

President Goldenberg reported on fall 2004 enrollment.

1.             Main Campus enrollment is up 2.9%.

2.             Undergraduate headcount is up 2.5% (degree seeking students); Graduate headcount is down 1.2 (due in part to the visa problems); Lake Campus is down 4.9% (leveling off, Lake Campus has had enormous increases over the years).

3.             Sixty students were put in temporary housing; four new buildings will come on line (236 residential beds in fall 2005) for a total of approximately 3,000 beds (all wireless computer capabilities).

C.        Promotion and Tenure

The university-wide Promotion and Tenure Committee conducted a mail ballot to consider a recommendation received from the College of Science and Math Promotion and Tenure Committee for consideration of tenure for the following new university faculty member:

Dr. Lok C. Lew Yan Voon

Professor of Physics

Dr. Lew Yan Voon held a tenured position at his previous institution, and has a distinguished record of scholarship, teaching, and service.

RESOLUTION 05-3

RESOLVED that the promotion and tenure recommendation as submitted to this meeting be, and the same hereby are approved.

Mr. Jenkins motioned for approval. Mr. Adams seconded, and the motion was unanimously adopted by roll call vote.

D.             Facility Security Clearance

RESOLUTION 05-4

WHEREAS, Wright State University wishes to maintain its facility security clearance through the Defense Security Service, and

WHEREAS, those persons occupying the following positions among the officers and officials at Wright State University shall be known as Key Management Personnel (KMP) as described in the National Industrial Security Program Operating Manual:

WHEREAS, the said KMP are hereby delegated all of the BoardÕs duties and responsibilities pertaining to the protection of classified information under classified contracts of the Department of Defense or User Agencies of its Industrial Security Program awarded to Wright State University; and

WHEREAS, the following named members of the Board of Trustees shall not require, shall not have, and can be effectively excluded from access to all classified information in the possession of Wright State University, and do not occupy positions that would enable them to affect adversely the policies and practices of Wright State University in the performance of classified contracts for the Department of Defense or User Agencies of its Industrial Security Program, awarded to Wright State University, and need not be processed for a personnel clearance:

Mr. Diggs moved for approval. Mr. Nevin seconded, and the motion was unanimously adopted by voice vote.

H.        Ratification of Contracts and Grants

Wright State University ended its fiscal year 2004 with external funding exceeding $50 million, breaking all previous records and exceeding last yearÕs awards by more than $4 million. The new fiscal year is off to an excellent start with nearly $11 million in funding awarded during July and August 2004. Since the last Board of TrusteesÕ meeting, the U.S. Department of Energy awarded Dr. Sharmila Mukhopadhyay of the Department of Mechanical and Materials Engineering a new grant totaling more than $950,000. The research project will be led by Wright State University, with collaborators at the University of Albany, New York, and the Air Force Research Laboratory, and focus on enhancing the performance of second generation coated conductors.

IX.       REPORTS OF THE COMMITTEES OF THE BOARD

            A.         Academic Affairs Committee

á               Report of the Provost

Due to the hard work and determination of our faculty and staff, the university received the largest annual recorded total of external funding in WSUÕs history Ð 570 awards totally $50,462,293.

The Ohio Department of Education selected WSU as one of the first two Ohio charter colleges of education. The university will receive $375,000 in federal funding to train working adults to become teachers in math, science, foreign languages, and special education and to place them in school districts that need them the most. We have received more than 500 inquiries from candidates interested in the 45 spots available.

The University LibrariesÕ Special Collections and Archives received the 2004 Combs Award from the National Aviation Hall of Fame. The $20,000 award was presented for Special Collections and ArchivesÕ work in promoting the centennial of powered flight locally, nationally, and internationally during 2001-2003.

In preparation for the NCA accreditation team visit May 15-17, 2005, the university is currently conducting a comprehensive self-study to determine how well it is meeting the new accreditation criteria set by the North Central Association of Colleges and Schools.

The American Sociology Association selected Dr. Jeanne Ballantine, professor of sociology, for one of eight nationwide awards for distinguished contributions to teaching. She is the first WSU faculty member to receive the ASA national honor.

We are moving forward with a prioritized list of recommendations proposed by the University Classroom of the Future Committee. Funds have been allocated to convert ten additional classrooms to electronic rooms in time for winter quarter 2005; to establish a permanent classroom repair fund; and to create a permanent classroom technology replacement budget.

After 35 years of service, Dean James Brandeberry will retire June 30, 2005. His effective leadership has positioned the college for continued excellence and an exciting future. The search for the next dean of the College of Engineering and Computer Science is underway. Dean Mary Ellen Mazey is chairing the search committee. We anticipate campus interviews in January of 2005.

á               Student Academic Success Indicators

Provost David Hopkins discussed university activities that are conducted to monitor student academic success. Student outcome assessments are in place for each academic major. Each plan identifies measures that will assess whether students are successfully achieving the intended outcomes, and commits to a process whereby assessment findings lead to improvement.

Student surveys are administered on a regular basis. The Entering Student Questionnaire is given during summer orientation each year and the Student Satisfaction Inventory is administered to a random sample of students in alternating spring quarters. The Exit Survey is administered to graduating seniors to assess students' satisfaction with various administrative offices, the quality of education at Wright State University, and if students feel prepared in the many skills needed for today's society. In addition, many programs assess employer evaluations of our graduates.

Retention rates and graduation rates are common quantifying indicators of student success. Our fall 2004 first year retention rate is 72%, 71% for African-American students. Dr. Lillie Howard, vice president for Curriculum and Instruction and dean of the University College, reported that 6-year graduation rates have increased by approximately 9% from 1987 to 1997. In addition, 6-year graduation rates for African-American students have increased 20% during the same time period.

1.         Master of Arts in International and Comparative Politics

Dr. Jay Thomas, vice president for Research and dean of Graduate Studies, and Dr. Donna Schlagheck, chair, Department of Political Sciences, presented the proposal for a Master of Arts in International and Comparative Politics. The program has been offered as a track in International and Comparative Studies in Wright StateÕs Applied Behavioral Science M.A. program for the past three years. With the discontinuation of the International Relations program at UD, our track remains the only such program in the Dayton metropolitan area. Growth in the track justifies the request for a degree designation change pursuant to RACGSÕ Guidelines and Procedures for Reviews and Approval of Graduate Degree Programs. The transition to an independent program will require only modest changes.

RESOLUTION 05-8

WHEREAS, the Department of Political Science has a strong commitment to faculty excellence in international politics; and

WHEREAS, the International and Comparative Politics track has been conducted successfully as one of several concentrations in the Master of Arts in Applied Behavioral Science (ABS); and

WHEREAS, the program track has grown in three years to enroll more than 40 students; and

WHEREAS, the ABS Program and Department of Political Science are committed to a separate degree program for the benefit of the enrolled students and program graduates; and

WHEREAS, a degree designation change from a program track to a separate degree program status has been approved unanimously by the Graduate Council and the Faculty Senate; therefore be it

B.        Advancement Committee

     Mr. Nevin reported on the committee meeting of October 1, 2004.

á               Alumni Association Update

Dr. Gary LeRoy, president of the Alumni Association, reported on the activities of the Alumni Association. The Association built a float that was used at the Fairborn July 4th parade and the Vandalia air show parade. It will be used for future events. The association also sponsored an alumni night at the Dayton Dragons on July 23rd.

Twenty-six student organizations participated in the ÒRowdy Round TownÓ project. Most of the budget for this project was donated by the Alumni Association. The Rowdy statues will be auctioned off during the October 23rd ÒNight at the RowdysÓ Campaign Celebration. Dr. LeRoy highlighted upcoming events including Homecoming, the annual football trip and the Dec. 8th Jam the Gym event.

á               WSU Foundation Update

Mrs. Marcia Muller distributed the Foundation Board committee list and mentioned that the full board has not yet met this year. The Executive Committee recently reviewed areas of priority for the coming year including strategic plan targets for FY 2004-2005. Mrs. Jamie King, who will represent the University Board of Trustees, was welcomed to the Board.

á               Campaign Status Report

Mrs. Muller announced that the campaign now exceeds $59 million in commitments and continues to climb. She enumerated a number of rationales for continuing the Campaign beyond the October 23 celebration event. These included many remaining campus needs, expanded gift potential and the continuing uncertainty of state funding. There was a consensus among Advancement Committee members that continuing the Campaign would be in the best interest of Wright State.

Ms. Shari Lewis, director of Corporate and Foundation Relations, reviewed the history and the process of the Corporate Appeal. This year Corporate Appeal more than doubled its goal of $150,000, thanks in part to Mr. Tom Young, who chaired this yearÕs Corporate Appeal. Mr. Young was recognized for doing an outstanding job and was presented with a biplane model in appreciation of all his work.

Mr. Robert Copeland, assistant vice president for Development, reported on annual initiatives including the ÒFamily FundÓ component of the Campaign and annual Campus Scholarship and Innovation Campaign. All annual goals for these programs have been exceeded for the past five years. The Family Fund phase of the Campaign has generated $3.4 million in commitments against a goal of $2 million.

Mr. Copeland stated that 84 members will be recognized and inducted into the Heritage Society at the October 23, ÒA Night at the RowdyÕsÓ event. The decorated RowdyÕs will be auctioned off during this event.

á               Divisional Update

Mrs. Muller reported that Ms. Lewis will be taking a new position as director of Development for Academic Services and University College. At this point all college units are now served by a professional development officer.

Mrs. Muller also commented on the number of volunteer advisory boards which has sprung up during the Campaign. Over 400 volunteers serve on the 28 advisory boards and give 1,200 hours per year attending these meetings.

Team training took place on September 23rd through a day with Mr. Don Gray, nationally known expert in university advancement. Deans and Advancement staff attended at various times of the day.

            C.        Building and Grounds Committee

á               Ice Rink Facility

Mr. John Siehl, director, Nutter Center, briefly described the project. Dr. Matt Filipic explained that the university would receive ice time in exchange for the land lease. Mr. Diggs requested further information on details of the lease.

D.             Finance and Audit Committee

            Mr. Graber, chair, reported on the committee meeting of October 1, 2004.

1.             Classification Plan for Civil Service Eligible Employees

Wright State University completed a study in 2003 that resulted in the creation of a new classification plan and amended rules for the classified civil service that must be filed with the state of Ohio.

RESOLUTION 05-10

WHEREAS, Wright State University has the authority and the responsibility to establish, modify, or repeal a job classification plan for all positions, offices, and employments in the classified civil service; and

WHEREAS, the university desires to amend its classification plan for classified employees in compliance with section 111.15 of the Ohio Revised Code; and

WHEREAS, Wright State University completed a classification study in 2003 that has resulted in the creation of a new classification plan establishing titles, pay ranges, a numbering system, and amended rules for the classified civil service; therefore be it

RESOLVED that the new classification plan be accepted for implementation and filed with the state of Ohio as the classification program for the classified service at Wright State University.

l               Mr. Stover and Ms. Sanders reviewed the results of the FY2004 audit performed by PricewaterhouseCoopers. PricewaterhouseCoopers reviewed the preliminary results of its financial audit with the committee and its recommendations for improving internal controls based upon its findings during the course of the audit. Mr. Stover and Ms. Sanders both commended the university for its cooperation with the audit process.

l               Mr. Jeff Ulliman reviewed the draft financial statements with the committee. PricewaterhouseCoopers is in the process of completing its audit of the universityÕs financial statements for the year ended June 30, 2004. Management reviewed the statements of net assets; revenues, expenses, and changes in fund balance; and cash flows, as reflected in the draft financial statements.

á               Mr. Ulliman reviewed the universityÕs expenditures $250,000-$499,999. No action by the committee was required.

l               Professor Fall Ainina presented a proposal to allocate a portion of our funds to a finance class for them to invest. WSU will have a trading room with the latest software and only the faculty would handle the actual transactions. This work will be judged against benchmarks. Dr. Filipic proposed to allocate $500,000 for this purpose, with possible increases in the future.

l               Mr. Ulliman shared a proposed revision to our investment policy which was discussed. No action will be requested until the November 5th meeting.

l               Dr. Filipic shared an update of the universityÕs capital planning guidelines.

l               Plans were discussed for the possible sale of bonds to finance a portion of the science project, the Student Union renovation, and the implementation of our administrative software system. No action will be requested until November 5th (at the earliest), pending review and approval of the scope of the science project by Buildings and Grounds.

l               Dr. Filipic shared the universityÕs investment reports.

l               Dr. Filipic presented his vice presidentÕs report. Some highlights are as follows:

¤                State operating budget. Revenues are ahead of expectations so far this year. Payroll employment is still below 1999 levels in Ohio, while nationally employment is growing. A recent Columbus Dispatch article was distributed; it noted the structural imbalance in the state budget going into the next biennium.

¤                State capital budget. A bill is expected after the election. State capital funding has been in steady decline since the early 1990Õs, placing pressure on our own resources to fill the gap.

¤                We are developing a project list to focus our divisionÕs attention on opportunities to reduce expenditures or increase revenues. This list will be discussed with the committee in January.

¤                Enrollments are tracking our estimates, but we are not enjoying a substantial margin over the numbers assumed in our budget as we had in recent years. Tuition revenues are modestly above forecasts.

¤                We have been conducting training and drills as part of the implementation of our new emergency response plan.

¤                The Banner project is on time and on budget.

E.             Student Affairs Committee

Mr. Jenkins, chair, reported on the committee meeting of October 1, 2004.

á               Vice-PresidentÕs Report:

Dr. Dan Abrahamowicz gave introductory comments regarding the homecoming activities for October 1-3 which include the 2nd annual homecoming parade, as well as menÕs and womenÕs soccer games and induction of athletes into the soccer Walk of Fame.

Move-in and Fall Fest went well and enrollments are up for fall 2004. In Athletics, a new baseball coach, Mr. Rob Cooper, was hired, as was a new softball coach, Mr. Mike Larabee. Sadly, WSUÕs tennis coach, Mr. Herb Foster, passed away unexpectedly.

There are three divisional construction projects underway: the Athletics Pavilion, the Student Union renovation, and new housing construction. There has also been a divisional reorganization. The Office of Conferences and Events has been moved into the Division of Student Affairs & Enrollment Services. A new Office of Student Support Services has been created under the direction of Ms. Katie Deedrick, a licensed counselor. The office will be responsible for student advocacy and student crisis response. The office also has responsibility for commuter student and parent association programming. Student Judicial Services and Greek Affairs were combined into one office under the direction of Mr. Gary Dickstein. The Office of Student Life is now the Office of Student Activitie
