Mr. Palmer reported that this meeting was called by written notification and a quorum was present.

 

III.DISPOSITION OF PREVIOUS MINUTES

Mr. Palmer moved that the June 4-5, 1998, minutes be approved as submitted. Mr. Diggs seconded, and the motion was unanimously approved by voice vote.

 

IV.EXECUTIVE SESSION

In accordance with the Ohio Open Meetings Law, the Board, after a majority of a quorum, determined to hold an Executive Session by offering the following resolution:

RESOLUTION 99-1

RESOLVED that the Wright State University Board of Trustees agreed to hold Executive Session on Thursday, October 1, 1998; and be it further

RESOLVED that pursuant to the Ohio Revised Code 121.22 (G), the following issues may be discussed in Executive Session:

!Legal Report

!Potential dismissal, demotion, or discipline of a tenured faculty member, and pertinent personnel matters

!Purchase of real property by WSU Foundation, Inc., and pertinent real estate matters

Mr. Buerger moved for approval. Mr. Diggs seconded, and the motion was unanimously approved by roll call vote.

Following the Executive Session, the Board gathered for dinner at the United States Air Force Museum, as part of the National Aerospace Conference.

Mr. Palmer stated that the Wright State University Board of Trustees is a public body subject to the Ohio Open Meetings Act. It operates on a fixed agenda available to those attending the meeting. Persons wishing to address the Board in its public session should submit a written request to the Board of Trustees office 72 hours in advance of the meeting in order to be placed on the agenda. However, all persons address the Board at the invitation of the Board and are subject to time limitations and other guidelines established to maintain the good order of the meeting.

VIII.PRESENTATION AND POLICY DISCUSSIONS

Information Technology Research Institute -

Dr. P. Bruce Berra, Professor, Computer Science and

Director, Information Technology Research Institute

P. Bruce Berra, professor of Computer Science and director of the Information Technology Research Institute, made a presentation on the institutes mission and role.

The Information Technology Research Institute (ITRI) at Wright State University became operational July 1, 1997, with Dr. P. Bruce Berra, Regents Professor of Information Technology, as director. The institute is a cooperative research and development organization involving partnerships among WSU and other organizations in the information technology field. Located in the Russ Engineering Center, ITRI is part of the College of Engineering and Computer Science and is closely affiliated with the Department of Computer Science and Engineering. Funding is provided by the Ohio Board of Regents, Wright State University, and the Miami Valleys Information Technology Alliance. ITRI functions as the research arm of the IT Alliance.

The institutes mission is to conduct basic and applied research, to conduct industrially relevant research and development, and to reduce the time for research results to reach the marketplace. To accomplish this, ITRI provides guidance and support in several directions. Both expertise and monetary support are available to faculty researches. The institute assists collaborative R&D with industry and government by both connecting industry needs with appropriate research faculty and by providing technical services, physical resources, and excellent computing facilities. ITRI also sponsors seminars, conferences and workshops, short courses and tutorials to further its mission.

Research is focused in four main areas: Software Engineering and Database Systems, Human-Computer Interaction, Computer Enhanced Reasoning, and Parallel and Distributed Systems. Currently twenty-two faculty from across campus are working with local IT companies, the U.S. Air Force, educational institutions, and Ohio governmental agencies. In the year since its inception, the institute has guided several successful proposals, held a recent international workshop on database management systems, awarded a number of graduate research assistant ships and supported a variety of faculty research projects.

The Information Technology Research Institute at Wright State is rapidly becoming a recognized asset to both state and local information technology industry and economic development.

 

IX.REPORT OF THE CHAIR

A.Introduction of New Board Members

Michael Adams

Michael Adams is founder and chief executive officer of Adams Robinson Enterprises, a builder of water and waste water treatment plants. The company is currently licensed in 13 states with its corporate office in Dayton, Ohio, and a satellite office in Altamonte Springs, Florida. Adams Robinson has been rated among Daytons Top 100 Companies for the past seven years.

Before founding Adams Robinson Enterprises in 1983, Mr. Adams early career began in 1971 with Adrian Construction Company in Dayton, Ohio where he played a key role in all phases of project management, estimating and operations.

Mr. Adams was appointed to the Board of Trustees in 1998 to fulfill the remaining term of Mr. Frederick W. Schantz. He has served as the chairman of the Wright State University Foundation Board of Trustees, and currently serves on the Wright STEPP Scholarship Advisory Board.

Mr. Adams is a graduate of Wright State University with a bachelors degree in business management.

He and his wife Bari reside in Dayton, and are the parents of two children.

Gail Littlejohn

Gail Littlejohn is senior vice president, corporate and government affairs for LEXIS-NEXIS. In this role, she is responsible for developing and implementing industry and governmental affairs strategies to strengthen the companys position as an industry leader. Also, she has responsibility for involving the company in pertinent, pending state and federal legislation, and expanding the companys sphere of influence with those who are shaping the industry, and creating public policy and relevant legislation.

Ms. Littlejohn was selected as the YWCA Career Woman of the Year in 1991. She also published a diversity-training program and enjoys motivational speaking. A dedicated community volunteer, Ms. Littlejohn has served on numerous community boards, including Dayton Contemporary Dance Company, Sinclair Community College Foundation, Dayton Art Institute, Miami Valley Child Development, and Dayton YWCA.

She is a graduate of Wright State University with a masters degree in Personnel Counseling. Residents of Dayton, she and her husband, Judge Bill Littlejohn are parents of three children.

Jeffrey Gardner

Jeffrey Gardner, a student trustee, is a senior mechanical engineering student in Wright State Universitys College of Engineering and Computer Science.

He has served as the student government representative for the college since 1997 and has been actively involved in several areas including serving as an instructor for first-year engineering students, as a liaison between the students and the college faculty and administration, and as a coordinator of student activities for National Engineers Week. In addition, he is employed in the college as a senior office assistant and has been an AAcademic Advantage@ math and computer instructor, and a summer orientation leader.

Mr. Gardner also serve as the director of industrial relations for the Wright Engineering Council and as a member of the curriculum, petitions, steering, and undergraduate engineering program committees. He is president of the chemistry club and as a member of the undergraduate curriculum and academic policy, public safety director search, and enrollment planning committees.

Mr. Gardner also is the recipient of numerous honors and awards, including WSU Distinguished Senior Leader Award, the colleges Deans Award and Deans Engineering Leadership Institute, Deans List, Alpha Lambda Delta Freshman Honor Society, National Merit Commended Scholarship recipient, Ohio Space Grant Consortium Scholar, and Member of the Year and Director of the Year for the Wright Engineering Council.

 

B.Announcements

Mr. Palmer thanked Lynnette Heard for her service to the Board and announced that she will begin her new duties as Assistant to the Vice President of Student Affairs and Director of Student Life.

Mr. Palmer reminded the Board about the Ohio Board of Regents Conference on December 3 or 10, 1998, and the Trustee Conference in Columbus on March 10, 1999.

The NCA has recently re-accredited the MBA degree program at H. Lavity Stoutt Community College in Tortola, British Virgin Islands.

 

X. REPORT OF THE PRESIDENT

A.University Goals - Preliminary Report

President Goldenberg has identified five areas in discussions with a number of people in the university (members of the Board, the provost and vice presidents) that he will focus on:

(1)Establish a problem-solving collective bargaining environment that maintains the integrity of the Faculty Senate.

(2)Implement a technology plan and achieve the necessary level of Year 2000 compliance.

(3)Managerial retirements consistent with the University Strategic Plan.

(4)Implement an effective marketing plan and strengthen development and alumni programs.

(5)Provide leadership to develop a campus environment that reflects the diversity of the region and promotes multiculturism and international understanding.

 

B.Fall Enrollment Report

In the area of enrollment, Dr. Abrahamowicz gave a initial report stating that the figures may still change. The retention rate from freshman to sophomore year is 72%, which is the highest in WSU history. Last years rate of retention was 70%, and in 1996 it was 67%. Enrollment of new freshman is up 5%, and overall enrollment of continuing students is up 1%. The residence halls are 104% of capacity. For undergraduate that translates into good news. Undergraduate enrollment is up 3/10%. However, graduate school enrollment has decreased 10%. Overall Wright States enrollment is down by 2-1/2%. This reflects what is going on around the state, especially the phenomenon of freshman classes being rather large and the graduate numbers being down.

 

C.Student Success

Dr. Goldenberg reported that several recent significant student accomplishments are noteworthy for the Boards information:

!This fall 138 Ohio high school valedictorians and salutatorians are attending Wright State University.

!Recent accountancy graduate Danielle Rolfes, who is now employed by Procter & Gamble, had the top score in Ohio with 387 points (out of a possible 400 points) on the national Certified Public Accounting exam.

!Charlene Cape, an MBA student, won the national Graduate Student Leadership Award from the Society for Human Resource Management Foundation. The award was based on her leadership ability, campus and community involvement, commitment to the human resources profession and grade point average.

!When the petroleum industry looks for the best graduates in geology and geophysics, Wright State is one of among a select few in the nation where recruiters visit.

 

D.Facility Clearance Revision

RESOLUTION 99-2

WHEREAS, Wright State University wishes to maintain its facility security clearance through the Defense Security Service, and

WHEREAS, those persons occupying the following positions among the officers and officials at Wright State University shall be known as Key Management Personnel (KMP) as described in the National Industrial Security Program Operating Manual:

WHEREAS, the following named members of the Board of Trustees shall not require, shall not have, and can be effectively excluded from access to all classified information in the possession of Wright State University, and do not occupy positions that would enable them to affect adversely the policies and practices of Wright State University in the performance of classified contracts for the Department of Defense or User Agencies of its Industrial Security Program, awarded to Wright State University, and need not be processed for a personnel clearance:

RESOLVED that the Board of Trustees of Wright State University authorizes the establishment of the above KMP, and this resolution supersedes Resolution 96-43 dated June 7, 1996.

Mr. Soin moved for adoption. Mr. Duval seconded, and the motion was unanimously ratified by voice call vote.

 

 

E.Professor Emeritus Requests

In accordance with university policy approved by the Board of Trustees, the following faculty members have met the requirements for emeritus status:

RESOLUTION 99-3

WHEREAS, faculty members who have served ten or more years as fully-affiliated and full-time members at Wright State University will automatically be granted the emeritus title upon retirement and upon written request by the faculty member to the provost; and

WHEREAS, William E. Brown, professor of Education, has served the university since 1975 in a fully-affiliated and full-time status and has requested emeritus status; and

WHEREAS, William M. Gordon, professor of Education, has served the university since 1988 in a fully-affiliated and full-time status and has requested emeritus status; and

WHEREAS, Joseph W. Hemsky, associate professor of Physics, has served the university since 1966 in a fully-affiliated and full-time status and has requested emeritus status; and

WHEREAS, George J. Kantor, professor of Biological Sciences, has served the university since 1970 in a fully-affiliated and full-time status and has requested emeritus status; and

WHEREAS, Ernest F. Koerlin, associate professor of Art, has served the university since 1968 in a fully-affiliated and full-time status and has requested emeritus status; and

WHEREAS, Maurice D. Kogut, professor of Pediatrics, has served the university since 1980 in a fully-affiliated and full-time status and has requested emeritus status; and

WHEREAS, Vincent Presno, associate professor of Education, has served the university since 1975 in a fully-affiliated and full-time status and has requested emeritus status; and

WHEREAS, Donald R. Swanson, professor of English, has served the university since 1971 in a fully-affiliated and full-time status and has requested emeritus status; and

RESOLVED that the requests for emeritus status for the aforementioned faculty members, submitted to this meeting, be and the same hereby are endorsed.

Mr. Duval moved for adoption. Mr. Diggs seconded, and the motion was unanimously adopted by voice vote.

F.Approval of Settlement Agreement

RESOLUTION 99-4

WHEREAS, the university has entered into the settlement agreement with assistant professor Katharine L. Dvorak; and

WHEREAS, this agreement was promulgated in the best interest of the university; therefore be it

RESOLVED that the WSU Board of Trustees adopts the agreement.

Mr. Jenkins moved for adoption. Mr. Diggs seconded, and the motion was approved by roll call vote.

I.Report of Investments

Since the last Board meeting, investments for June, July and August 1998 has been received. These reports have been distributed to the trustees and are filed with the official Board of Trustees records.

 

J.Ratification of Contracts and Grants

Since the last meeting of the Board of Trustees, $2,643,447 in contracts and grants have been received. As the new fiscal year began in July 1998, Wright State Universitys figures for ongoing awards were quickly boosted by receipt of more than $1.6 million in federal funding for projects overseen by Dr. Harvey Siegal of the School of Medicines Department of Community Health. A significant new research project has been awarded to Dr. Dan Krane, an assistant professor in the Department of Biological Sciences. Dr. Kranes three-year grant from the U.S. Environmental Protection Agency provides $420,000 to study measures of genetic diversity as indicators of the overall health and ability of a population of organisms to adapt to changing environmental conditions and stressors.

XI.REPORTS OF THE COMMITTEES OF THE BOARD

A.Academic Affairs Committee

The Academic Affairs Committee did not meet.

B.Advancement Committee

Mr. Adams reported on the Advancement Committee meeting of September 23, 1998. The following topics were discussed:

$Foundation Update

The chairs of each committee were announced: Nominating Committee chair, Mr. Alexander Williams; Development Committee chair, Mr. Robert Mills; and, Finance and Audit Committee chair, Mr. Jerome Sutton. The Foundation created a new committee this year to handle the Foundations investments. The new Investment Committee was split off of the Finance and Audit Committee and is chaired by Mr. Les Banwart.

One major challenge facing the Foundation is searching for individuals to fill the vacancies at the Foundation.

The FY 98 total is $5.3 million, however, after taking out two major bequests that were received (Oma K. Sells and Vera T. Schneider) the total is $3.1 million.

It was suggested that the college deans at Wright State become more involved in fund raising for their schools. It was further stated that Wright State still needs to get the job done, even with development staff shortages.

The goals were set by discussions with the deans concerning the projects that needed to be funded in their area. Annual giving money based on giving history was then added on to these amounts.

_The committee discussed in great detail the importance of setting realistic goals, but also to make the goals challenging. It was agreed by the committee that the $4 million goal should be accepted on an interim basis.

Due to Dr. Harley Flacks death, and subsequent leadership changes, the capital campaign that was being planned has been put on hold. Mr. Adams feels that the Grezenbach plan can still be used. Ms. Butler agreed to summarize the Grezenbach study for the committee. It was further discussed that a new and more aggressive marketing effort is needed, as well as recruiting new volunteers from the community and increasing alumni participation. All of these steps are important in preparing for a successful campaign.

A draft of a new donor recognition policy the Foundation Board is working on was presented. A major change in this policy is the acknowledgment of pledges. The previous policy was to admit donors to the giving societies based on cash gifts. In the draft of the new policy, donors will be acknowledged upon receipt of a signed pledge card. This policy gives a donor immediate recognition of their pledge.

! Alumni Relations Update

The alumni relations director gave the Advancement Committee an update on current and future alumni activities and goals.

_Mr. Adams asked Ms. Smith about participation of alumni in annual giving. Ms. Smith estimated that $200,000 was raised from alumni and most of that came from the telemarketing efforts. Ms. Smith hopes to raise dollar amounts and participation rates of alumni.

!University Update

The committee was informed that the search for the vice president for university advancement has started. A firm that specializes in development searches has been hired to conduct the search. Letters have been sent by the firm, and the search committee should start seeing resumes by the middle of October.

Ms. Stephanie Smith, the new director of annual giving, will start Monday, September 28, and Mr. Kirk Winter, assistant director of annual giving, started in July.

Interviews for the two vacant senior development officer positions are being held this week; the job description for the research manager position is being reviewed with the expectation that it will be posted by mid-October. Interviews are also being held this week to fill the records analyst position. These positions will be filled by the end of October.

Ms. Butler updated the committee on prospective major gifts. At this time there is a proposal in process to the Kettering Fund for the School of Medicine.

Dr. James Brandeberry has created a $25 million development plan for the College of Engineering and Computer Science.

The Baseball Stadium plans are nearing completion. An additional $400,000 to $500,000 needs to be raised before construction can begin. The development staff is searching for additional donors to complete the funding for this project.

!Trustee Solicitation

Trustee and Board participation in the Annual Giving Program is extremely important. The goal this year is to obtain 100% participation. In the past, there has not been an appeal which involved the Trustees. Mr. Allread will organize this effort.

!Advancement Comments

Wright State has several challenges facing it, one of which is to re-educate the community with regard to Wright States mission, as well as the many programs and initiatives which have a positive impact on our region. It is equally important that we educate our Board members (University, Alumni and Foundation) since they are best positioned to be the most effective ambassadors for the university.

It was suggested that we consider re-establishing the presidential breakfast meeting which reached out to our local and regional constituencies. The deans need to increase their presence and contact with Board members and certainly the community at large. Wright State continues to be one of the Miami Valleys best kept secrets.

C.Building and Grounds

Mr. Soin, chair, reported on the Building and Grounds Committee meeting of September 30, 1998. The following topics were discussed:

!Capital Projects Status Report

An overview of the Access Circulation project, the New Academic Building, the IDTL classroom project, the Fred White Building ceiling and the final phase of Fawcett Hall renovation done in the basement was presented.

Phase II and III of the Access Circulation project included several critical elements to be completed by September 11, 1998. All milestones were completed on schedule.

Currently, the New Academic Building is three weeks behind schedule primarily due to the wet spring weather. By working overtime, this time period has been shortened, and the goal is to continue the overtime needed to finish the project according to the original completion date. All claims for weather related delays have been submitted. These totaled $376,000 initially and have been negotiated to $120,000. It is anticipated that this figure may be reduced to $60,000 and will be funded through the contingency. The sculpture ATurning Points@ by David Black is being erected on-site. The piece is constructed of aluminum; the concrete support columns will be covered with granite. The art work is funded through a 1% line item in the total project budget. The state legislature mandates that 1% of the construction cost be used for public art.

The primary purpose of the Fawcett Hall Phase IV renovation project was to complete the fire suppression system. This project also included general remodeling of one classroom and new research lab space for Dr. Wayne Carmichael.

!The Building and Grounds Agenda

The annual agenda for the Building and Grounds Committee is attached.

!Other Business

WSU is negotiating an agreement with AMS to build more student housing in response to the increase in recruiting. These units would be designed as apartment style, the type most requested by students for the past few years. The agreement would provide for 420 beds to be built over the next 10 years. The location would be along Zink Road, contiguous to Wright State University property.

D.Finance and Audit

Ms. Achterman reported on the Finance and Audit Committee meeting of September 28, 1998.

!Management Letter Recommendations

Deloitte & Touche is in the process of completing the audit with the last day of field work on October 2. As part of their audit each year, they look at the internal controls of the university, primarily the financial systems and computer systems. There were no material weaknesses and no reportable conditions. Comments that will be included in their formal management letter will be made available in a couple of weeks. Included will be discussions regarding a formalized fraud and management misconduct policy, better controls over fixed assets, procurement card usage, Year 2000 compliance, and information security over the mainframe.

!Alternative Retirement Program

The universitys obligations under the new law and time frame for implementation were reviewed. This information was shared with the committee for their information and consideration for the next Finance and Audit Committee meeting.

The Alternative Retirement Program (ARP) was pursued statewide by university officials to recruit out-of-state employees who wish to continue to contribute to their current defined contribution retirement plan. Full-time academic and administrative employees with less than five years of service credit in either of the traditional retirement systems (PERS or STRS) will have a one-time opportunity to discontinue their membership and join the Alternative Retirement Plan. In March 1997, House Bill 586 required all Ohio public institutions of higher education to offer the alternative retirement plan. Eight vendors were selected by the Department of Insurance.

Eligible employees are those who are currently employed at least 75% FTE with less than five years of service credit, or academic and administrative employees who will be hired once the alternative retirement program is implemented. There will be no additional cost to the university.

The Board of Trustees will be asked at the December 4 meeting to adopt a resolution to implement the ARP at Wright State University. The resolution that will be presented at that time will allow the university to enter into the contract with eight carriers and will set the contribution levels which Wright State will adopt for each participating employee. Faculty will receive 8% contribution from Wright State and for unclassified staff, 7.31% will be contributed (current levels funded to STRS and PERS). Eligible faculty and staff will have 120 days from the date the resolution is adopted to select the ARP or remain under the current system. Newly hired employees (after December 4) will have 90 days from their hire date to select a plan.

There are several differences between ARP and the traditional plans currently offered by the state of Ohio. The employees who remain in STRS or PERS will have access to disability benefits and employer sponsored retirement incentive plans. Health care coverage for retirees will include lifetime pension and continuing lifetime benefits to survivors. The main benefits to employees under the ARP are the full, vested portion of their account balance upon leaving the university, and the ability to potentially earn more than the Public Retirement Plans because they choose how the account is invested.

An aggressive communications plan has been developed pending adoption by the full Board at the December meeting.

!Audited Financial Statements, FY >98

The universitys draft financial statements (balance sheets and operating statement) were reviewed. Highlights were:

! Unrestricted General Fund: An increase in cash and investments due to an increase in liabilities and a decrease in loans to other funds

! Unrestricted General Fund: An increase in accrued liabilities (attributed to the early retirement incentive plan and timing of payroll reports)

!No material changes in auxiliary enterprises except for an increase in deferred credits due to ticket sales for the Aerosmith concert which has been postponed several times.

!Restricted Funds had a decrease in Accounts Receivable due to positive collection efforts of outstanding receivables.

!Loan Fund shows increase in loans issued; increase in notes receivable for the loans; slight increase in allowance for doubtful loans.

!Endowment Fund shows investments at fair value, not cost, and shows returns that parallel the market.

!Unexpended Plant Funds account for construction activities/renovations. The video display system caused the cash balance to decrease until financing proceeds are received resulting in a deficit in the fund balance.

!Renewal and Replacement (acquisition and replacement of assets) shows a net increase of $1 million due to net current transfers into the fund.

!Investment in plant shows an increase in land improvements, primarily for campus renovation, parking lots and technology infrastructure. Buildings increased due to the addition of the Campus Services Building, and renovation of Fawcett Hall. Also, there was a net decrease in moveable equipment, furniture and library books. There continues to be debt related to bonds for the Nutter Center and Hamilton Hall.

!Agency funds account for funds of student organizations and organizations in which a faculty member may serve as treasurer, where the university acts as fiscal agent.

The Statement of Current Funds Revenue, Expenditures and Other Changes was reviewed. Comments follow:

Revenues:

!Tuition fees and other student charges increased due to enrollment and fee increases.

!State appropriations increased as a result of budgeted increases and the OhioLink appropriation.

!Overall, the contracts and grants increased slightly due to additional awards received.

!Other sources of income increased due to positive variances in investment income.

Expenditures:

!Instruction and departmental research increased about $1.5 million due to early retirement charges and employee payroll and benefit increases.

!Separately budgeted research shows an increase due to an increase in sponsored programs and cost-sharing requirements.

!There was an increase in Academic Support due to salary and benefit increases, early retirement costs and expenditures related to the OhioLink program.

!Student Services shows an increase because of an increase in salary/benefits and an increase in computer charges.

!Institutional support increased due to salary/benefit increases as well as utility increases and early retirement.

!Scholarships and fellowships increased as a result of general university supplements to the budget as well as increases in Pell Grants and Ohio Instructional Grants.

Transfers:

!Principle and interest are transferred to the retirement of indebtedness fund to pay off bonds and capital lease obligations.

!Matching Funds are the universitys obligations to match Perkins Loan Funds and nursing loan programs.

!Support to Auxiliary Enterprises is the universitys support to various auxiliaries that were budgeted at the beginning of the year.

!Restricted Funds is a transfer back to the general fund of their unused investment income as well as residual fixed price contract amounts.

!Renewal and Replacement is the budgeted transfers to the renewal and replacement funds for replacement of equipment.

!Unexpended Plant Funds are used to fund certain renovation projects.

!Excess of restricted receipts over transfers to revenue are monies received from sponsors that have not yet been spent.

!Indirect Costs Recovered are overhead costs charged to sponsored agreements that go back to unrestricted general funds and ultimately are distributed as research incentive funds and other university budgets.

!Year 2000 Progress - Update

A document entitled, AWright State University Year 2000 Project Status as of 9/28/98" was distributed to the committee. This document shows pie graphs of the project status for all CaTS systems, applications, supported systems and software. It was reported that the university is on schedule to have all administrative applications Year 2000 compliant by fall of 1999. It was explained that a number of the applications do not have to be compliant prior to March 2000. All applications have been prioritized as to when they need to be in production. A task force has been charged to establish an inventory of distribution applications. Nineteen coordinators have been trained and are responsible for conducting departmental and college inventories. The inventories will be completed by October 15, and this data will determine the next steps to be taken. In addition, a site license software agreement is being finalized with Microsoft which will enable the university to upgrade all operating systems and applications in the Microsoft Office and language suites at no cost to the depart
